1. Validity
These terms and conditions apply to all purchase contracts, deliveries and services, including information and advice provided by us. Deviating provisions, in particular supplementary or conflicting terms and conditions of the buyer, shall only apply if expressly agreed upon in writing.
2. Offers / Conclusion of Contract
Our offers are subject to change and non-binding. A contract is concluded only upon our written order confirmation or by the commencement of delivery by us. The content of the contract is determined by our offer, the order confirmation and the applicable terms and conditions. All prices listed in our current price list include statutory value-added tax (VAT). Upon publication of a new price list, all previous offers lose their validity.
2.1 Conclusion of Contract when Ordering in the PlantaPur Shop
a) Technical steps leading to the conclusion of the contract: To order one or more items, the customer must select the desired quantity in the designated field next to the product description and confirm by clicking the “OK” button. The selected item will then be placed in the customer’s shopping cart, which can be viewed at any time via the link in the online shop. After clicking the “Order” button in the shopping cart, the customer will be guided through the ordering process. Each step will be explained and the necessary information will be requested. The ordering process is completed when the customer confirms the order by clicking the final confirmation button.
b) Formation of the contract: The purchase contract is concluded when the buyer completes the order (offer) and the seller accepts the offer by sending an order confirmation or by delivering the goods. The automatic confirmation email acknowledging receipt of the order only confirms that the order has been received and does not constitute acceptance of the order.
c) Storage and access to the order: The order, including the order details of the purchaser and the customer for whom the order is intended, as well as the corresponding prescription issued by the therapist, will be stored by us. Upon request, this information will be sent to the customer and/or therapist via email.
d) Identification and correction of input errors: Before submitting a binding order, the customer will be shown an overview page displaying all order details. This allows the customer to review the order and correct any input errors or cancel the order process if necessary. The contents of the shopping cart may be changed at any time before completing the order.
e) Available languages: German and English
3. Shipping of Goods
Valid for shipments within Germany. Shipping costs for international deliveries are available upon request.
Packaging materials and shipping costs are charged at a flat rate of €8.00.
4. Delivery / Transfer of Risk
Delivery dates are only binding if they have been expressly confirmed by us in writing. Delivery is made from our warehouse. Delivery is made at the buyer’s expense and risk. The risk transfers to the buyer at the latest when the goods leave our warehouse. If the buyer is a consumer, the risk transfers only when the goods are delivered to the buyer. If a requested product is no longer available, we reserve the right to deliver equivalent goods as a replacement. This may also involve a change of vintage or origin.
5. Payment
The purchase price is due immediately without deduction at the time of ordering and upon receipt of the order confirmation including invoice.
Accepted payment method:
Instant bank transfer (Sofortüberweisung).
The customer may only offset claims if their counterclaims have been legally established, are undisputed, or have been acknowledged by us.The customer may only exercise a right of retention if the counterclaim arises from the same contractual relationship.
6. Complaints / Defects
The buyer must inspect the goods upon delivery. Any complaints must be reported immediately, but no later than three days after receipt of the goods. For merchants, the obligation to inspect and notify defects applies in accordance with Sections 377 and 378 of the German Commercial Code (HGB). The above inspection obligation and the associated deadline for complaints do not apply if the buyer is a consumer. In such cases, the statutory warranty rights for defects apply. Damage to packaging or external presentation of the goods does not constitute a defect in the goods themselves.
7. Liability for Damages
Our liability for breaches of contractual obligations and for tort is limited to intent and gross negligence. This limitation does not apply in cases of injury to life, body or health of the customer, nor in cases of claims arising from the breach of essential contractual obligations. In such cases, we are liable for any degree of fault. The above limitation of liability also applies to slight negligence on the part of our agents and vicarious agents. To the extent that our liability for damages is excluded or limited, this also applies to the personal liability of our employees, workers, representatives and agents.
8. Retention of Title
We retain ownership of the purchased goods until the purchase price has been paid in full. Claims arising from the resale of goods subject to retention of title or from any other legal reason are automatically assigned to us by the buyer in the amount of the secured claim. In the event of resale, the buyer must reserve ownership of the goods until full payment has been received. The buyer is not authorized to resell the goods if the resulting claim would be subject to a prohibition of assignment.
9. Data Protection / Data Storage
We inform you that transmitted data will be stored solely for the purpose of processing the contract. By concluding the purchase contract, the customer agrees to the processing of their data for the purpose of contract execution. This consent may be revoked at any time with effect for the future.
10. Place of Performance / Jurisdiction
The place of performance and jurisdiction is the registered office of the company in Bingen.
German law shall apply exclusively.
